1. Introduction

Welcome to Knowthira Grid. These Terms of Service (the "Terms") constitute a legally binding agreement between you ("User," "Student," or "you") and Knowthira Grid ("Knowthira Grid," "we," "us," or "our"), a California company with its principal place of business in Ventura, California. By accessing our website at www.knowthira-grid.com, enrolling in any course, purchasing any service, or otherwise engaging with our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease all use of our services and refrain from accessing our website or any associated materials.

Knowthira Grid provides language education services including but not limited to live online instruction, self-paced curriculum access, intensive language tracks, and supplementary learning materials (collectively, the "Services"). These Terms govern your use of all Services, whether accessed via our website, third-party video conferencing platforms, learning management systems, or any other medium we may employ. We reserve the right to modify these Terms at any time, with such modifications becoming effective upon posting to our website. Your continued use of the Services following any such modification constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes.

2. Eligibility and Account Registration

To enroll in our Services, you must be at least thirteen (13) years of age. If you are under the age of eighteen (18), you represent and warrant that you have obtained verifiable parental or legal guardian consent to enter into these Terms and to participate in our educational programs. Knowthira Grid reserves the right to request written confirmation of such consent at any time. We do not knowingly collect personal information from individuals under thirteen (13) years of age without verified parental consent in compliance with the Children's Online Privacy Protection Act (COPPA).

When you create an account with Knowthira Grid, you agree to provide accurate, current, and complete information about yourself as prompted by our registration forms. You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to accept full responsibility for all activities that occur under your account, whether authorized by you or not. You must notify us immediately of any unauthorized use of your account or any other breach of security by writing to us at the address listed in Section 12. Knowthira Grid shall not be liable for any loss or damage arising from your failure to comply with this section.

2.1 Account Termination by Us

We reserve the right, in our sole discretion and without prior notice, to suspend or terminate your account and access to the Services for any reason, including but not limited to: (a) violation of these Terms; (b) fraudulent, harassing, or abusive behavior toward instructors, staff, or other students; (c) failure to make timely payment for Services rendered; (d) requests by law enforcement or other government agencies; or (e) unexpected technical or security issues. In the event of termination for cause, you shall not be entitled to any refund of fees paid, in whole or in part.

3. Services and Enrollment

Knowthira Grid offers a range of language instruction formats, including but not limited to Live Online Sessions (one-on-one and small group), Structured Self-Paced Courses, and Intensive Tracks. Detailed descriptions of each format, including session duration, curriculum scope, and expected time commitment, are available on our website and within the course enrollment interface. By enrolling in a specific course or program, you acknowledge that you have reviewed the applicable description and understand the nature and scope of the Services to be provided.

Enrollment in any course is subject to availability. We make reasonable efforts to ensure that course schedules and instructor assignments are accurate and reliable; however, we reserve the right to modify schedules, substitute instructors of equivalent qualification, or cancel sessions due to unforeseen circumstances, including instructor illness, technical failures, or force majeure events. In the event of a cancellation initiated by Knowthira Grid, we will make commercially reasonable efforts to reschedule the session at a mutually agreeable time or issue a pro-rated credit toward future Services. We do not guarantee that any particular instructor will be available for the entire duration of your program.

3.1 Self-Paced Course Access

Access to self-paced course materials is granted for a period of twelve (12) months from the date of enrollment, unless otherwise specified in the course description or a separate written agreement. Upon expiration of the access period, your license to view and use the materials shall terminate automatically. You may request an extension of access, which may be granted at our sole discretion and may be subject to an additional fee. You acknowledge that self-paced course materials are provided for your individual educational use only and may not be downloaded, reproduced, distributed, or shared with any third party, except as expressly permitted in Section 4 below.

4. Intellectual Property Rights

All content and materials made available through the Services, including but not limited to text, graphics, logos, button icons, images, audio clips, video recordings, digital downloads, data compilations, lesson plans, exercises, assessments, proprietary methodologies, and software (collectively, the "Content"), are the exclusive property of Knowthira Grid or its content suppliers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The compilation of all Content on our platform is the exclusive property of Knowthira Grid and protected by U.S. and international copyright laws.

Subject to your compliance with these Terms and full payment of applicable fees, Knowthira Grid grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Content solely for your personal, non-commercial educational purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download (other than page caching), store, or transmit any portion of the Content without our express prior written consent, except as follows: (a) your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials; (b) you may store files that are automatically cached by your web browser for display enhancement purposes; and (c) you may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

4.1 User-Generated Content

In the course of using our Services, you may submit or post content, including written assignments, audio recordings of speaking practice, forum posts, or feedback (collectively, "User Content"). You retain ownership of any intellectual property rights that you hold in your User Content. However, by submitting User Content to Knowthira Grid, you grant us a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media for the limited purposes of providing, improving, and promoting the Services. You represent and warrant that you own or control all rights in and to your User Content and have the right to grant the license granted above.

5. Payment, Fees, and Refunds

All fees for Services are set forth on our website or in the applicable enrollment agreement and are denominated in United States Dollars (USD). Payment is due in full at the time of enrollment unless an installment payment plan has been expressly agreed to in writing by Knowthira Grid. We accept payment via major credit cards, debit cards, and other payment methods as indicated on our checkout page. You authorize us to charge your selected payment method for all applicable fees, including any recurring subscription charges if you have enrolled in a subscription-based program. You represent and warrant that you have the legal right to use any payment method you provide.

Our refund policy is governed exclusively by the separate Refund Policy document, which is incorporated herein by reference. Please review the Refund Policy carefully before making any purchase. Except as expressly provided in the Refund Policy, all fees are non-refundable. You acknowledge that once you have accessed, downloaded, or streamed any portion of a self-paced course, or once a live session has commenced, the Services are deemed fully delivered and no refund shall be available.

5.1 Late Payments and Failed Transactions

If your payment method is declined or fails for any reason, we reserve the right to suspend your access to the Services until full payment is received. You agree to pay all costs and expenses, including reasonable attorneys' fees and collection agency fees, incurred by Knowthira Grid in connection with the collection of any overdue amounts. We may charge a fee of $25.00 for any returned payment or failed ACH transaction.

6. Code of Conduct

Knowthira Grid is committed to fostering a respectful, inclusive, and professional learning environment. By using our Services, you agree to adhere to the following Code of Conduct. Failure to comply may result in immediate suspension or termination of your account without refund, as well as potential legal action.

  • Respect for Instructors and Peers: You shall treat all Knowthira Grid instructors, staff members, and fellow students with courtesy and respect. Harassment, bullying, hate speech, discriminatory remarks, or any form of verbal abuse will not be tolerated under any circumstances.
  • Academic Integrity: All work submitted as part of our courses, including assignments, quizzes, and assessments, must be your own original work. Plagiarism, cheating, or any other form of academic dishonesty is strictly prohibited. Knowthira Grid reserves the right to invalidate any assessment or credential obtained through dishonest means.
  • Appropriate Conduct in Live Sessions: During live online sessions, you agree to maintain a professional demeanor. You shall not share inappropriate, offensive, or distracting content via screen share, chat, or audio. You shall not record, screenshot, or otherwise capture live sessions without the express written consent of Knowthira Grid and all participants. Unauthorized recording is a violation of these Terms and applicable privacy laws.
  • Prohibition on Commercial Solicitation: You may not use our platform, sessions, or community spaces to solicit other students for any commercial purpose, including promoting competing language services, selling products, or recruiting for multi-level marketing organizations.
  • No Disruption of Services: You shall not attempt to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Services. You shall not use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.

7. Disclaimer of Warranties; Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. KNOWTHIRA GRID EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SERVICES.

KNOWTHIRA GRID DOES NOT GUARANTEE ANY SPECIFIC EDUCATIONAL OUTCOME, INCLUDING BUT NOT LIMITED TO IMPROVED TEST SCORES, LANGUAGE PROFICIENCY GAINS, ACADEMIC ADMISSION, OR CAREER ADVANCEMENT. WHILE WE EMPLOY QUALIFIED INSTRUCTORS AND RESEARCH-BACKED METHODOLOGIES, INDIVIDUAL RESULTS VARY BASED ON FACTORS BEYOND OUR CONTROL, INCLUDING STUDENT EFFORT, PRIOR KNOWLEDGE, ATTENDANCE, AND EXTERNAL CIRCUMSTANCES.

7.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KNOWTHIRA GRID, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR INSTRUCTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (D) ANY OTHER MATTER RELATING TO THE SERVICES. IN NO EVENT SHALL KNOWTHIRA GRID'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID KNOWTHIRA GRID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

8. Indemnification

You agree to defend, indemnify, and hold harmless Knowthira Grid, its affiliates, officers, directors, employees, agents, instructors, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorneys' fees) arising out of or related to: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; (d) any claim that your User Content caused damage to a third party; or (e) your conduct in live sessions or any other interaction facilitated by the Services. This defense and indemnification obligation will survive these Terms and your use of the Services.

9. Dispute Resolution and Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

9.1 Informal Resolution

Most user concerns can be resolved quickly and to the user's satisfaction by contacting our customer support team at the address listed in Section 12. In the unlikely event that we are unable to resolve your complaint to your satisfaction, you and Knowthira Grid agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating any arbitration or court proceeding. Such informal negotiations commence upon written notice from one party to the other.

9.2 Binding Arbitration

If the dispute is not resolved through informal negotiation, you and Knowthira Grid agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined exclusively by binding, individual arbitration in Ventura County, California, under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") then in effect, except as modified by this provision. The arbitration shall be conducted by a single, neutral arbitrator mutually agreed upon by the parties. If the parties cannot agree upon an arbitrator, one shall be appointed by the AAA in accordance with its rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

9.3 Class Action Waiver

YOU AND KNOWTHIRA GRID AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Further, unless both you and Knowthira Grid agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.

9.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court consistent with the jurisdictional limits of such court. Additionally, either party may seek emergency equitable relief in a court of competent jurisdiction to prevent irreparable harm, including but not limited to preliminary injunctive relief related to intellectual property infringement or misappropriation of trade secrets.

10. Governing Law and Venue

These Terms and any action related thereto shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Subject to the Arbitration Agreement set forth in Section 9, for any claims not subject to arbitration, you and Knowthira Grid agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within Ventura County, California, and waive any objection as to inconvenient forum.

11. Miscellaneous Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Knowthira Grid concerning the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Knowthira Grid with respect to the Services.

11.2 Severability

If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

11.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Knowthira Grid's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

11.4 Assignment

You may not assign or transfer these Terms, or any of your rights or obligations hereunder, without the prior written consent of Knowthira Grid. Any attempted assignment in violation of this section shall be null and void. Knowthira Grid may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

11.5 Force Majeure

Knowthira Grid shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
